5. Digital Products

Digital products are supplied electronically unless otherwise stated.

Before purchasing a digital product, you should review its:

  • description;
  • features;
  • functionality;
  • compatibility requirements;
  • supported platforms;
  • licence terms; and
  • any other applicable product information.

You are responsible for ensuring that the product is suitable for your intended use and compatible with your system where the relevant requirements have been provided.

Where a digital product requires third-party software, platforms, hosting or services, we cannot guarantee the continued availability or compatibility of those third-party services.

6. Digital Product Licence

Unless otherwise stated on the relevant product page or licence agreement, purchasing a digital product gives you a limited, non-exclusive, non-transferable licence to use that product for its intended purpose.

You must not, unless expressly permitted:

  • resell the product;
  • redistribute the original files;
  • share your purchase or licence with unauthorised users;
  • make the product available for public download;
  • claim the product as your own;
  • reproduce the product for resale;
  • remove proprietary notices; or
  • use the product in a way that violates applicable law.

Different products may have different licensing conditions. Where a specific licence is provided with a product, that licence will apply to the extent of any inconsistency with these general Terms.

Where Xenate System provides software or SaaS products, access may be subject to:

  • account registration;
  • subscription terms;
  • usage limits;
  • licence restrictions;
  • technical requirements;

We may update, improve or modify our software from time to time.

Where an update materially changes the service, we will take reasonable steps to communicate relevant changes where appropriate.

8. Orders and Payments

When you place an order, you agree to provide accurate and complete information.

Prices will be displayed before you complete your purchase.

Unless otherwise stated:

  • prices are quoted in the currency displayed at checkout;
  • applicable taxes or VAT will be handled as required by law;
  • payment must be successfully completed before digital products are made available; and
  • an order confirmation may be sent to the email address provided during checkout.

We reserve the right to correct obvious pricing or description errors before an order is fulfilled.

9. Digital Downloads and Immediate Delivery

Where a digital product is made available for immediate download or access, you may receive access shortly after successful payment.

For consumer purchases of digital content, UK rules can require specific consent and acknowledgement where supply begins during the statutory cancellation period. Where applicable, we will obtain the required confirmation before providing immediate digital access.

Your statutory consumer rights are not affected by these Terms.

10. Refunds and Cancellations

Our Refund Policy explains our approach to refunds, cancellations and digital products.

Nothing in these Terms is intended to remove or restrict any statutory rights you may have under applicable UK consumer law.

For digital content, cancellation rights can depend on how and when the content is supplied and whether the required consent and acknowledgement for immediate supply were obtained.

For services, cancellation and refund arrangements may depend on the nature and stage of the project and the terms agreed with you.

Please refer to our Refund Policy for further information.

11. Website Development and Custom Projects

For website development, software development, database solutions and other custom projects, the scope of work may be agreed through:

  • a written proposal;
  • quotation;
  • statement of work;
  • project agreement;
  • email confirmation; or
  • another written agreement between the parties.

The agreed project documentation may specify:

  • project scope;
  • deliverables;
  • milestones;
  • estimated timelines;
  • fees;
  • payment schedule;
  • revisions;
  • client responsibilities;
  • third-party costs;
  • support arrangements; and
  • other project-specific conditions.

Where a separate written project agreement exists, it will govern the relevant project to the extent of any conflict with these general Terms.

12. Client Responsibilities

For custom projects and services, you agree to provide information, content, access credentials and approvals reasonably required for us to perform the agreed work.

You are responsible for ensuring that materials you provide to us:

  • are accurate;
  • are lawful;
  • do not infringe third-party rights; and
  • may legally be used for the intended project.

Delays caused by missing information, approvals, content or access may affect project timelines.

13. Third-Party Services

Some products and services may depend on third-party platforms, software, hosting providers, advertising platforms, APIs or other services.

Examples may include:

  • hosting providers;
  • payment processors;
  • Google services;
  • Amazon services;
  • WordPress;
  • third-party APIs;
  • advertising platforms; and
  • other technology providers.

We are not responsible for changes, outages, restrictions, pricing changes or discontinuation of third-party services that are outside our reasonable control.

14. SEO and PPC Services

SEO, PPC, Amazon PPC and other marketing services involve third-party platforms and market conditions that we do not control.

We do not guarantee:

  • a specific search engine ranking;
  • a specific amount of website traffic;
  • a particular advertising position;
  • a specific number of leads;
  • a specific sales volume;
  • a specific return on advertising spend; or
  • a particular revenue level.

Where performance targets are agreed in writing, those targets will be governed by the relevant project agreement.

15. Intellectual Property

Unless otherwise agreed in writing, Xenate System retains ownership of its:

  • website;
  • branding;
  • logos;
  • software;
  • source code;
  • templates;
  • frameworks;
  • tools;
  • documentation;
  • designs;
  • digital products;
  • methodologies; and
  • other intellectual property.

You must not reproduce, modify, distribute or commercially exploit our intellectual property without appropriate permission.

For custom development projects, ownership or licensing of project-specific deliverables will be determined by the relevant project agreement.

16. Client Materials

You retain ownership of content, materials, trademarks and other intellectual property that you provide to us.

By providing materials to Xenate System for a project, you grant us the permissions reasonably necessary to use those materials to perform the agreed services.

You confirm that you have the necessary rights and permissions to provide such materials.

17. Availability and Maintenance

We aim to keep our website and digital services available and operational.

However, we do not guarantee uninterrupted or error-free availability.

Temporary interruptions may occur because of:

  • maintenance;
  • security updates;
  • technical issues;
  • hosting problems;
  • third-party outages;
  • network issues; or
  • circumstances outside our reasonable control.

18. Warranties and Consumer Rights

Nothing in these Terms affects rights that cannot legally be excluded or limited.

Where you are a consumer, applicable UK consumer protection legislation may provide rights relating to digital content and services, including requirements concerning quality, fitness for purpose and conformity.

The Consumer Rights Act 2015 contains statutory protections relating to goods, digital content and services.

Nothing in these Terms is intended to exclude or restrict those rights where doing so would be unlawful.

19. Limitation of Liability

To the maximum extent permitted by law, Xenate System will not be responsible for losses that:

  • were not reasonably foreseeable;
  • were not caused by our breach;
  • result from your misuse of our products or services; or
  • result from third-party services outside our reasonable control.

Nothing in these Terms excludes or limits liability where such exclusion or limitation would be unlawful.

This includes liability for matters that cannot legally be excluded or limited under applicable law.

20. Indirect or Consequential Loss

To the extent permitted by law, we will not be liable for indirect or consequential losses arising from the use of our website, products or services.

This may include loss of:

  • profits;
  • revenue;
  • business opportunities;
  • anticipated savings;
  • data; or
  • goodwill,

where such losses are legally capable of being excluded.

This clause does not affect any liability that cannot legally be excluded.

21. Suspension or Termination

We may suspend or terminate access to a product, service or account where reasonably necessary, including where:

  • these Terms have been materially breached;
  • fraudulent or unlawful activity is suspected;
  • payment obligations have not been met; or
  • continued access creates a security or operational risk.

Termination does not affect rights or obligations that arose before termination.

22. Confidentiality

Where we receive confidential information from a client in connection with a project, we will take reasonable steps to keep that information confidential and use it only for legitimate purposes connected with the relevant relationship.

Confidentiality obligations may be further defined in a separate agreement where appropriate.

23. Data Protection

We process personal information in accordance with our Privacy Policy.

Our Privacy Policy explains:

  • what information we collect;
  • how we use it;
  • how we protect it;
  • when we share it; and
  • your applicable data protection rights.

24. Changes to Products and Services

We may update or modify our products and services from time to time.

Changes may be necessary to:

  • improve functionality;
  • address security issues;
  • comply with legal requirements;
  • maintain compatibility;
  • introduce new features; or
  • improve performance.

Where a change materially affects an existing paid service, we will take reasonable steps to provide appropriate notice where required.

25. Force Majeure

We will not be responsible for failure or delay in performing our obligations where that failure or delay results from circumstances beyond our reasonable control.

Such circumstances may include:

  • natural disasters;
  • serious network or infrastructure failures;
  • cyber incidents;
  • government action;
  • widespread service outages;
  • third-party platform failures;
  • war;
  • civil unrest; or
  • other events beyond our reasonable control.

26. Complaints

If you have a complaint about our products or services, please contact us first.

Email: contact@xenatesystem.co.uk

We will review your complaint and aim to respond within a reasonable period.

Where applicable, consumers may also have access to statutory consumer protection and dispute-resolution rights.

27. Third-Party Links

Our website may contain links to third-party websites or services.

These links are provided for convenience only.

We do not control and are not responsible for third-party websites, their content, availability or privacy practices.

28. Governing Law

These Terms are governed by the laws of England and Wales.

Subject to any mandatory consumer rights that apply to you, the courts of England and Wales will have jurisdiction over disputes arising from these Terms.

29. Severability

If any provision of these Terms is found to be invalid, unlawful or unenforceable, that provision will be interpreted or removed to the minimum extent necessary, while the remaining provisions will continue to apply.

30. Entire Agreement

These Terms, together with any applicable product licence, Refund Policy, Privacy Policy, Cookie Policy and project-specific agreement, form the applicable agreement between you and Xenate System concerning the relevant products or services.

Where a separate written agreement applies to a specific project, that agreement will take precedence over these general Terms to the extent of any conflict.

31. Changes to These Terms

We may update these Terms from time to time.

The updated version will be published on this page with a revised Last Updated date.

Your continued use of our website after changes are published constitutes acceptance of the updated Terms where legally applicable.
